Shares to be transferred

Transfer of title

The full and unrestricted ownership and title to the shares will transfer from the Seller to the Purchaser upon signing of the Instrument of Transfer specified in the Schedule hereof. The parties shall inform the Company on the transfer of shares under this Agreement within 1 clear day from the day of signing the Instrument of Transfer. The title to shares can be evidenced by an extract from the Company's register of shareholders.

Payment

Warranties

Each party represents and warrants that it is a legally capable person with full capacity to own assets, acquire and exercise rights, incur liabilities and perform obligations; is of sound mind; that no spouse or partner consent is required (or has been received); and that this Agreement constitutes its valid, binding and enforceable obligations.

Severability

If any provision is invalid or unenforceable, this shall not invalidate or render unenforceable the entire Agreement.

Modification

This Agreement may be modified or amended only by a duly authorized written instrument executed by the parties hereto.

Confidentiality

Each party keeps the terms confidential and uses the information only for the purposes of this Agreement, save for disclosure to professional advisers, with consent of the other party, or where required by law or a regulatory body.

Rights of third parties

A person who is not a party has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this Agreement.

Jurisdiction

Governed by English law. Disputes are settled by arbitration under the Rules of the Arbitration Institute of the Stockholm Chamber of Commerce (SCC); seat — Stockholm; sole arbitrator; language — English.

Notices

Any notice shall be in writing and is deemed given when sent by contact person email.
